IR Policy
- Objective
As the manager of CapitaLand Ascendas REIT (“CLAR”), CapitaLand Ascendas REIT Management Limited, (the “Manager”) is committed to keeping both individual and institutional unitholders of CLAR (collectively, “Unitholders”) well informed of all major developments affecting the affairs of CLAR.
The aim of this Investor Relations Policy (“IR Policy”) is to ensure that Unitholders and the investment community are provided with timely and equal access to balanced and understandable information about CLAR (including its strategies, businesses, financial performance, governance and material developments) to enable a two-way communication between them and the Manager. Importantly, enabling access to such information will allow Unitholders and the investment community at large to exercise their rights in an informed matter.
In this IR Policy, references to the investment community include CLAR's potential investors as well as analysts reporting and analysing CLAR's performance.
- General
At all times, the Manager is committed to making timely, full and accurate disclosure in accordance with the Listing Manual of the Singapore Exchange Securities Trading Limited (“SGX-ST”) and the Singapore Code of Corporate Governance 2018. This includes distributing other corporate communications materials which refer to any document issued or to be issued by the Manager for the information or action of its Unitholders, including, but not limited to, the annual report, a notice of meeting, a circular and a proxy form.
All disclosures submitted to the SGX-ST through SGXNET are also available on CLAR's corporate website.
This IR Policy is subject to regular reviews by the Manager to ensure its effectiveness. Updates and amendments (as appropriate) will be made to reflect current best practices in our communication with Unitholders and the investment community.
- Unitholder Rights
The Manager is committed to treating all Unitholders fairly and equitably.
Unitholders are entitled to participate in and vote at general meetings of CLAR. Unitholders are also informed of the rules, including voting procedures, that govern general meetings of CLAR.
- Communication Principles
The Manager strives to provide pertinent and accurate information to its Unitholders and the investment community in an effective and timely manner.
The Manager will use clear and plain language in its communication.
The Manager endeavours to provide a consistent level of disclosure on both positive and negative developments of CLAR.
The Manager will communicate only through its designated spokespersons.
The Manager and designated spokespersons will establish and maintain regular dialogue with Unitholders to solicit and understand the views of Unitholders through general meetings, analysts and media briefings, investor roadshows or investor briefings.
The Manager does not respond to rumours. However, if rumours indicate that material information has been leaked or they are in fact false or inaccurate, the rumours will be promptly denied or clarified via announcements made through SGXNET to SGX-ST.
The Manager will give reasonable access to analysts and the media to help them formulate informed opinions of CLAR but will not seek to influence those opinions.
The Manager observes a 'blackout period' of one month prior to the announcement of CLAR's half and full-year results. During this period, the Manager does not comment on industry outlook, CLAR's operational performance and financial results, unless such information has already been publicly disclosed.
- Communication Channels
The Manager actively engages Unitholders and the investment community via:
- Annual General Meetings ("AGM") and Extraordinary General Meetings ("EGM");
- analysts and media briefings, with 'live' webcasts available for viewing on CLAR's corporate website;
- one-on-one/group meetings or conference calls, investor luncheons, local/overseas roadshows and conferences;
- property visits;
- annual reports;
- news releases and statements; and
- its corporate website (www.capitaland-ascendasreit.com)
The Manager meets with investors, the media and analysts at appropriate times as well as participates in investor roadshows, and sector conferences throughout the year.
Upon the release of CLAR's half-year and full-year financial results, the Manager will hold analysts and media briefings. 'Live' webcasts of the briefings are recorded and archived on CLAR's corporate website within a reasonable time after the relevant briefing.
CLAR has a dedicated website www.capitaland-ascendasreit.com, which contains all information relating to CLAR, from the structure to the portfolio information. All announcements, news releases and presentations issued on SGXNET will be updated on CLAR's website as soon as practicable after their release. Unitholders and the investment community have 24-hour access to CLAR's website for information.
An Investor Relations section on CLAR's website has a listing of all announced and paid-out semi-annual distribution per unit by CLAR, publications including circulars and annual reports, financial information and other relevant information. CLAR's trading unit price is also made available on the website on a 10-minute delay basis.
Unitholders/Investors can subscribe to email alerts to receive updates whenever there are any announcements or news releases issued by CLAR.
CLAR's AGM is the principal communication channel with Unitholders.
Unitholders will be notified of the AGM via electronic means within the required notice period prior to the AGM. Unitholders may also download a copy of CLAR's annual report from CLAR's website at www.capitaland-ascendasreit.com (printed copies of CLAR's Annual Report are available upon request) prior to the AGM.
Unitholders who are unable to attend and vote at the AGM can appoint proxies to attend, speak and vote on their behalf. The proxy forms are to be submitted 72 hours before the AGM.
As and when an EGM of the Unitholders is to be held, Unitholders will be notified of the EGM via electronic means. The notice of meeting and a circular which contains the details of the matters to be proposed for Unitholders' consideration and approval will be made available on CLAR's website.
Notices of the general meetings setting out all items of business to be transacted at the general meeting, are also announced via SGXNET to SGX-ST.
Unitholders are encouraged to attend the AGM held in April annually. The Manager will present the performance and strategies of the REIT for the past year. Members of the Manager's Board, senior management and the external auditors of CLAR are in attendance at all general meetings, to address Unitholders' queries. Unitholders are given the opportunity to communicate their views on various matters affecting CLAR. A Unitholder is allowed to appoint up to two proxies to attend and vote at the general meetings in his/her stead. In the case of corporations which provide nominee or custodial services, they may appoint more than two proxies so that Unitholders who hold units through such corporations can attend and participate in general meetings as proxies, in accordance with the prevailing laws.
The Manager supports voting by electronic means at all general meetings. At the general meetings, the poll results are shown on the screen immediately after each poll is conducted. An announcement detailing the number and percentage of votes received FOR or AGAINST each resolution will be released on SGXNET to SGX-ST on the same day of each Unitholders' meeting.
The Manager will prepare minutes of the general meetings and make these minutes available to Unitholders on SGXNET and CLAR's corporate website.
